Wholesale Terms & Conditions

These Wholesale Terms & Conditions apply to all wholesale orders placed with Casa Olivia ("we", "us", "our") by UK-based businesses, retailers, brands and trade customers ("the Buyer", "you", "your").

By placing a wholesale order with us, you agree to these Terms & Conditions.

1. Wholesale Orders

We supply our products on a wholesale basis to UK-based businesses, retailers, brands and other approved trade customers.

Our standard minimum wholesale order value is £100.

We are not VAT registered, therefore VAT is not charged on our wholesale prices or orders.

We reserve the right to accept or decline an order at our discretion. An order is confirmed once accepted by us in writing or through an approved ordering platform.

All orders are subject to product availability.

2. Ordering

Wholesale orders may be placed:

• Directly with Casa Olivia
• Through Faire Direct

Orders placed through Faire are also subject to Faire's applicable terms and conditions.

Unless otherwise agreed, our wholesale pricing is intended to be consistent whether an order is placed directly with us or through Faire Direct.

Bespoke, personalised or specially commissioned orders may only be placed directly with us and will be subject to separately agreed pricing and terms.

3. Prices

All wholesale prices are quoted in GBP (£) and are the final prices payable, as we are not VAT registered.

No VAT will be added to wholesale orders.

Wholesale prices may be changed from time to time. The price applying to an order will be the price confirmed when the order is accepted.

Any agreed bespoke, promotional or volume pricing will be confirmed separately in writing.

4. Payment

Unless otherwise agreed in writing, payment is required in full before goods are dispatched.

Approved trade accounts may be offered payment terms at our discretion. Where payment terms have been agreed, invoices are payable within the agreed period.

We reserve the right to suspend or decline further orders where invoices remain unpaid.

Goods remain our property until payment has been received in full.

5. Carriage & Delivery

Carriage is charged separately unless otherwise agreed.

Carriage costs may vary according to order value, parcel weight, dimensions and delivery location. The applicable carriage charge will be confirmed at the time of ordering.

We aim to dispatch standard orders within 6-8 weeks, subject to stock availability.

Delivery dates are estimates and are not guaranteed unless specifically agreed in writing.

The Buyer is responsible for providing an accurate delivery address and suitable delivery instructions.

6. Inspection of Goods

The Buyer should inspect goods as soon as reasonably possible after delivery.

Any items that arrive damaged, faulty or incorrect should be reported to us within 5 working days of delivery, with photographs where appropriate.

We will assess the issue and, where appropriate, arrange a replacement, credit or other suitable remedy.

Nothing in these Terms & Conditions affects the Buyer's statutory rights.

7. Returns

Wholesale orders cannot normally be returned because of a change of mind, incorrect ordering or unsold stock.

Any return must be agreed with us in writing before goods are sent back.

Where we agree to accept a return, goods must be unused, undamaged and in their original saleable condition.

Bespoke, personalised, made-to-order or hand-painted pieces cannot normally be returned unless they are faulty or incorrectly supplied.

8. Cancellations

Orders cannot be cancelled once they have entered production or preparation for dispatch without our written agreement.

For bespoke, personalised, made-to-order or hand-painted products, cancellation may not be possible once production or painting has commenced.

Any cancellation charges will be discussed and agreed with the Buyer where applicable.

9. Hand-Painted Collection

Our hand-painted collection consists of unique, one-of-a-kind pieces, each individually painted by hand.

As a result, every piece will have its own character and may vary slightly in colour, pattern, brushwork and finish. These variations are an inherent part of the collection and are not considered defects.

The following special terms apply:

• Approximate lead time: 8 weeks
• Limited stock allocation
• Available to order directly from Laura at Casa Olivia only
• Maximum allocation per retail location: one set or three individual plates
• Orders are confirmed subject to availability
• Orders cannot normally be cancelled once painting has commenced

The one-set/three-plate allocation applies per individual store or retail location, rather than per overall business or company.

10. Product Information

We take reasonable care to ensure that product descriptions, measurements, colours and images are accurate.

As some products are handmade, printed or produced in small batches, minor variations may occur.

Product photography may also appear slightly different depending on lighting, screen settings and photographic conditions.

We reserve the right to make minor product or packaging changes where necessary.

11. Recommended Retail Price

Where provided, recommended retail prices (RRP) are intended as guidance to help maintain consistent positioning across stockists.

The Buyer remains responsible for determining its own retail prices.

Nothing in these Terms & Conditions is intended to restrict the Buyer's ability to independently determine its retail pricing.

12. Resale & Distribution

Products are supplied for genuine retail or commercial resale.

The Buyer must not reproduce, manufacture or commission third parties to reproduce our products or designs.

Unless otherwise agreed, products should be sold under their original branding and packaging.

The Buyer may sell our products through:

• Its own physical retail premises
• Its own website
• Its own approved online retail channels

Any sale through third-party marketplaces or alternative distribution channels may require our prior written approval.

We reserve the right to restrict sales through particular marketplaces or channels where this is necessary to protect our brand, pricing, presentation or distribution arrangements.

13. Geographic Territory

Our standard wholesale supply is to UK-based businesses and UK retail locations only.

The Buyer must obtain our prior written agreement before exporting our products, supplying them for resale outside the UK, or distributing them internationally.

14. Exclusivity

Unless expressly agreed in writing, purchasing our products does not provide the Buyer with territorial, geographical, product or channel exclusivity.

We may supply other retailers or businesses, including those operating within the same geographical area.

Any exclusive arrangement must be agreed separately in writing and may be subject to minimum order commitments or other conditions.

15. Intellectual Property

All designs, artwork, patterns, illustrations, photography, branding, packaging and other intellectual property supplied by Casa Olivia remain our property unless expressly agreed otherwise in writing.

The Buyer may use approved product images, descriptions and brand assets solely for the purpose of promoting and selling our products.

The Buyer must not copy, reproduce, modify, manufacture or commercially exploit our designs, artwork or products without our prior written permission.

16. Product Images & Brand Assets

We may provide approved photography, product descriptions and other marketing assets to help the Buyer promote our products.

These materials may only be used in connection with the genuine promotion and sale of our products.

The Buyer must not alter, reproduce or use these materials in a way that could misrepresent the products or our brand.

17. Brand Presentation

We ask that our products are presented in a way that reflects the quality and positioning of the Casa Olivia brand.

We reserve the right to request changes to product listings, imagery or promotional material that materially misrepresents our products or brand.

18. Confidentiality

Any confidential wholesale pricing, trade information, product development information or other commercially sensitive information shared between us must not be disclosed to third parties without prior written consent, except where disclosure is required by law.

19. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so.

Subject to this, our liability arising from any individual order will be limited to the value of that order, except where applicable law requires otherwise.

We will not be responsible for indirect or consequential losses arising from the Buyer's resale of our products, including loss of profits or business, except where such limitation is not permitted by law.

20. Force Majeure

We will not be liable for delays or failure to fulfil an order where this results from circumstances outside our reasonable control, including supplier delays, transport disruption, strikes, severe weather, fire, flood or other unforeseen events.

We will keep the Buyer informed where such circumstances materially affect an order.

21. Termination of Trade Accounts

We reserve the right to refuse or suspend future wholesale orders where there are persistent payment issues, misuse of our intellectual property, breach of these Terms & Conditions or other serious concerns regarding the trading relationship.

22. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes will be subject to the jurisdiction of the courts of England and Wales, unless otherwise required by applicable law.
